Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the services provided by Stellar Synergy Labs S.R.L. ("Company", "we", "us", "our").

By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree, you must not use the Services.

If you access or use the Services on behalf of a legal entity, you represent that you have the authority to bind that entity to these Terms.

The Services are made available globally. You are responsible for ensuring that your use of the Services complies with all laws applicable to you.

3. Description of Services

The Company provides software applications, APIs, and technical infrastructure (collectively, the "Services").

The Services act as general-purpose technical infrastructure that allows users to connect to independent third-party providers.

The Company does not provide, host, distribute, transmit, curate or control any audio or video media content, including television channels, video streams, video-on-demand (VOD), playlists, channel lists, or similar media. All connections to external services are initiated by you and occur directly between you and the relevant third-party provider.

4. User Responsibility

You are solely responsible for:

  • how you use the Services;
  • ensuring you have the legal right to access any content you consume or distribute through the Services;
  • compliance with all laws applicable to you, including copyright, broadcasting, telecommunications, and data protection laws.

The Company does not monitor or analyse third-party content and is not in a position to determine its legality.

5. Accounts and Device Identification

Certain features require an account or device-based identification.

You are responsible for:

  • maintaining the confidentiality of your credentials;
  • all activity associated with your account or device.

The Company may suspend or terminate access in case of abuse, false information, security risk, or violation of these Terms.

6. Free Trials and Abuse Prevention

The Company may offer free trial access for evaluation purposes only.

To prevent abuse and enforce trial limits we may use limited technical identifiers (such as device identifiers and IP addresses) on the legal basis of our legitimate interest (Article 6(1)(f) of Regulation (EU) 2016/679 — "GDPR"). Repeated or abusive trial usage may result in restriction or denial of access.

7. Payments and Billing

Certain Services are provided on a paid basis.

  • Access is granted immediately after successful payment.
  • The Company is not currently registered for VAT in Romania. Displayed prices are the final prices payable; no VAT is added at checkout. This section will be updated if our tax status changes.
  • You are responsible for providing accurate billing information and for paying any taxes that apply to you under your own local law (for example, reverse-charge VAT if you are a VAT-registered business in another EU Member State).

8. Consumer Withdrawal Rights (EU / Romania)

If you are a consumer resident in the European Union or in Romania, you ordinarily have a 14-day right of withdrawal for digital services under Articles 9–16 of Directive 2011/83/EU on consumer rights, as transposed in Romania by Government Emergency Ordinance no. 34/2014 ("OUG 34/2014").

However, by completing a purchase of a digital service that is made available immediately, you:

  • expressly request that performance of the service begins immediately during the 14-day withdrawal period, and
  • acknowledge that, in accordance with Article 16(m) OUG 34/2014 (transposing Article 16(m) of Directive 2011/83/EU as amended), you lose your right of withdrawal once performance has begun in full with your prior express consent.

You will be asked to confirm this acknowledgment at checkout.

Nothing in these Terms limits any mandatory consumer rights you may have under Romanian or EU consumer protection law that cannot be waived by contract.

9. Service Availability

The Services are provided on an "as-is" and "as-available" basis. We do not guarantee uninterrupted availability, uptime, or error-free operation. Maintenance, updates, and unplanned outages may occur.

10. Intellectual Property

All software, infrastructure, branding, and materials related to the Services remain the property of the Company or its licensors, protected under Romanian Law no. 8/1996 on copyright and related rights, Romanian Law no. 84/1998 on trademarks, and applicable EU and international intellectual property law. The Services are licensed, not sold. See our Intellectual Property Notice and, for copyright complaints, our Copyright Policy.

11. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for:

  • indirect, incidental, or consequential damages;
  • loss of data, revenue, profits, or business;
  • issues caused by third-party services or providers.

Any liability is limited to direct damages actually proven and, in any event, to the amount paid by you to the Company in the six (6) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under Romanian or EU law, including liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by mandatory law.

12. Suspension and Termination

We may suspend or terminate access to the Services where these Terms are violated, where abuse is detected, or where required by law. Where reasonable and lawful, we will provide notice and an opportunity to remediate before termination.

13. Data and Privacy

Use of the Services is also governed by our Privacy Policy and Cookie Policy, which describe how we process personal data in accordance with the GDPR and Romanian Law no. 190/2018 implementing the GDPR.

14. Notice and Action (Illegal Content)

For notices concerning allegedly illegal content (including copyright infringement) you may use the procedure described in our Copyright Policy & Notice and Action Procedure, which implements Article 16 of Regulation (EU) 2022/2065 (the Digital Services Act, or "DSA"). 15. Changes to These Terms

These Terms may be updated from time to time. We will update the "Last updated" date at the top of this page and, where the change is material, we will take reasonable steps to notify users in advance of the change taking effect. Continued use of the Services after a change takes effect constitutes acceptance of the updated Terms.

16. Governing Law and Jurisdiction

These Terms are governed by Romanian law and applicable European Union law, without regard to conflict-of-law principles.

For consumers resident in the European Union, this choice of law does not deprive you of any protection afforded by mandatory consumer-protection rules of the law of the country in which you have your habitual residence (Article 6 of Regulation (EC) no. 593/2008 — "Rome I").

The courts competent for the registered office of the Company in Dolj County, Romania shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to mandatory rules on consumer jurisdiction under Regulation (EU) no. 1215/2012 ("Brussels I-bis"), which entitle consumers to bring proceedings in the courts of their place of domicile.
